VENDOR TERMS OF SERVICE

These Vendor Terms of Service ("Vendor Terms") govern your use of the vendor partner portal and services available through asianweddingmakeup.com (the "Platform"). The Platform is operated by White Rabbit Brides LLC, doing business as Asian Wedding Makeup ("we", "us", or "our").
These Vendor Terms apply to all wedding vendors who create vendor accounts, claim business profiles, or use our vendor portal ("Vendors" or "you").
By creating a vendor account, claiming your business profile, or using our vendor services, you agree to be bound by these Vendor Terms and our general Terms of Service. These Vendor Terms supplement and are in addition to our general
Terms of Service. In the event of any conflict between these Vendor Terms and the general Terms of Service, these Vendor Terms shall control with respect to vendor-specific matters. If you do not agree to these Vendor Terms, you may not use our vendor services.
1. Overview of Vendor Services
We operate a curated wedding vendor directory platform designed to connect couples planning weddings with wedding professionals. The Platform curates vendors based on demonstrated experience, skill, and relevance to its intended audience. Vendor inclusion is not based on the vendor’s race, ethnicity, or personal identity.
As a vendor on our Platform, you can:
- Claim and manage your business profile at no cost
- Edit your business information, services, pricing, and portfolio
- Receive qualified wedding inquiries from prospective clients
- Purchase leads on a pay-per-inquiry basis
- Showcase your work to couples planning their weddings
- Display a directory membership badge on your website (see Section 3.8)
2. Vendor Account Registration and Profile Management
2.1 When These Vendor Terms Apply
These Vendor Terms apply only once you claim your profile and create a vendor account.
If you have not claimed your profile, only our general Terms of Service apply to the display of your business information on the Platform. See our general
Terms of Service Section 6.3 for information about how we display unclaimed vendor profiles.
2.2 Claiming Your Business Profile
If we have created an unclaimed profile for your business, you may claim
it for free by:
- Requesting a verification link sent to your business email address
- Following the link to verify your identity and create a vendor account
- Completing the account setup process
If your business is not yet listed on the Platform and you would like to
be considered for inclusion, please contact us at
support@mail.asianweddingmakeup.com.
By claiming your profile, you represent and warrant that you are authorized
to represent the business and manage its listing on our Platform.
Verified Checkmark: Profiles that have been claimed and are actively managed by the vendor will display a "Verified" checkmark to distinguish them from unclaimed profiles.
2.3 Profile Editing and Updates
Once you claim your profile, you gain the ability to:
- Directly edit business information, descriptions, services, and pricing
- Upload and manage photos in your portfolio
- Update contact information and availability
- Control which services and specialties are displayed
- Manage inquiry preferences and settings
You are responsible for maintaining accurate and current information in your profile. We are not liable for any losses resulting from outdated or incorrect information in your profile.
2.4 Profile Deletion and Data Rights
You may request deletion of your claimed business profile at any time by contacting us at
support@mail.asianweddingmakeup.com. Upon receiving a valid deletion request:
- We will remove your active profile from public display within 5 business days
- Your vendor account will be deactivated
- Any unused inquiry credits will be forfeited (see Section 4.7)
- We may retain certain information as required by law or for legitimate business purposes, as described in our Privacy Policy
2.5 Account Security
When you create a vendor account, you must:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Create a secure password and maintain its confidentiality
- Be at least 18 years of age and authorized to bind the business you represent
- Notify us immediately of any unauthorized use of your account
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security or from unauthorized access to your account.
3. Content Ownership and Intellectual Property Rights
3.1 Your Content Ownership and License
You retain all ownership rights to content you upload, submit, provide to us, authorize us to use, or allow to remain on your profile, including photos, descriptions, pricing information, and other materials ("Vendor Content"). By uploading Vendor Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to:
- Display your Vendor Content on the Platform and in promotional materials
- Reproduce, distribute, and transmit your Vendor Content to Platform users
- Create derivative works for formatting and display purposes only
- Use your business name, logo, and likeness in connection with the Platform and its promotion
This license continues for as long as your profile is active and for a reasonable period thereafter (not to exceed 90 days) to fulfill existing contracts and comply with legal obligations.
3.2 Photo Upload Requirements and Representations
When uploading photos to your profile, providing photos to us, authorizing us to use photos (including from social media), or allowing photos to remain on your claimed profile, you represent and warrant that:
- You either own the copyright in the photos or have obtained all necessary rights, licenses, and permissions from the copyright owner (including, where applicable, the photographer)
- Any license obtained permits you to upload the photo to the Platform and to grant us the license described in Section 3.1
- You have complied with any applicable attribution or credit requirements associated with the photos.
- For photos containing identifiable people (including clients, models, or subjects), you have obtained written consent from all individuals depicted to use their image for commercial purposes, including publication on third-party platforms
- Your photos do not infringe any copyright, trademark, privacy right, publicity right, or other intellectual property or proprietary right
- Your photos do not contain any defamatory, obscene, or unlawful content
You are solely responsible for ensuring that your use of any photo complies with your agreements with photographers, clients, or other third parties.
3.3 Indemnification for Content Claims
You agree to defend, indemnify, and hold harmless White Rabbit Brides LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Any Vendor Content you upload or provide
- Any breach of your representations and warranties regarding Vendor Content
- Any copyright infringement, privacy violation, or other intellectual property claims related to your Vendor Content
- Any claims by individuals depicted in photos you uploaded without proper consent
3.4 Content Removal Rights
We reserve the right to remove, edit, or refuse to display any Vendor Content at any time, with or without notice, including but not limited to content that:
- Violates these Vendor Terms or our general Terms of Service
- Infringes third-party intellectual property rights
- Contains false, misleading, or deceptive information
- Is inappropriate, offensive, or violates community standards
- Violates applicable laws or regulations
- We determine, in our sole discretion, is not suitable for the Platform
3.5 Accuracy of Business Information
You agree to:
- Provide accurate and truthful information about your business, services, and pricing
- Update your profile promptly when material information changes
- Not misrepresent your credentials, experience, or qualifications
- Ensure pricing information reflects your actual rates or clearly indicate "starting from" pricing
- Disclose any material limitations or restrictions on your services
We may remove or suspend profiles that contain materially false or misleading information.
3.6 Use of Crowdsourced and Third-Party Content
We may display crowdsourced content, user reviews, recommendations, and publicly available information about your business as part of your profile. If you believe any such content is factually inaccurate or inappropriate, you may request review by contacting us at
support@mail.asianweddingmakeup.com. We will review such requests but reserve final discretion on content decisions.
3.7 Pre-Existing and Platform-Added Content
We may create unclaimed profiles for vendors using publicly available information, including business descriptions, social media content, and portfolio images.
If we have added photos or other content to your unclaimed profile prior to your claiming it, such content will be considered “Vendor Content” once you claim your profile.
By claiming your profile and allowing any existing photos or content to remain published on the Platform, you:
- Represent and warrant that you have reviewed such content
- Confirm that you have the necessary rights, licenses, permissions, and releases required under Section 3.2
- Adopt such content as your own Vendor Content under these Vendor Terms
- Grant us the license described in Section 3.1 with respect to such content
If you do not have the necessary rights to any pre-existing content, you must promptly remove it upon claiming your profile.
We reserve the right to remove pre-existing content from unclaimed profiles at any time in our discretion.
3.8 Vendor Badge License
Badge Availability:
Vendors with active, claimed profiles in good standing may display a directory membership badge (the "Vendor Badge") on their own websites and marketing materials to indicate their listing on our Platform.
License Grant:
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Vendor Badge solely to indicate that your business is listed on the Platform, subject to the following restrictions:
Permitted Uses:
- Display the badge on your business website
- Include the badge in email signatures
- Use the badge in printed marketing materials (business cards, brochures, etc.)
- The badge must link directly to your Platform profile when used on digital media
Prohibited Uses:
You may not:
- Modify, alter, or create derivative works of the Vendor Badge
- Use the Vendor Badge in any way that implies endorsement, sponsorship, partnership, or official affiliation beyond your directory listing
- Use the Vendor Badge to suggest we guarantee, warrant, or verify your services or quality
- Make false or misleading claims about your relationship with the Platform
- Use the Vendor Badge after your vendor account is terminated or suspended
- Use the Vendor Badge in a manner that disparages us or damages our reputation
- Sell, transfer, or sublicense the Vendor Badge to third parties
Trademark Ownership:
The Vendor Badge, the "Asian Wedding Makeup" name, logo, and all related trademarks remain our exclusive property. Your use of the Vendor Badge does not grant you any ownership rights in our trademarks.
Revocation:
We may revoke your right to use the Vendor Badge at any time, with or without cause, including but not limited to if:
- Your vendor account is suspended or terminated
- You violate these usage restrictions
- You are no longer in good standing on the Platform
- We discontinue the badge program
Upon revocation or termination of your vendor account, you must immediately remove the Vendor Badge from all websites, marketing materials, and other uses.
No Obligation to Provide:
We are not obligated to provide the Vendor Badge and may modify, discontinue, or change the badge design at any time without notice.
4. Inquiry System and Payment Terms
4.1 Pay-Per-Inquiry Model
Our Platform operates on a pay-per-inquiry model. When a prospective client submits an inquiry to your business through the Platform, you receive an email notification and may choose to purchase that inquiry to receive the full contact details and message.
This is not a subscription service. You only pay when you choose to purchase individual inquiries on a pay-as-you-go basis.
4.2 Inquiry Pricing
Pricing for each inquiry is determined by us at our sole discretion and may vary based on:
- The estimated monetary value of services requested
- Geographic market and demand
- Inquiry quality and completeness
- Service category
- Other factors relevant to lead value
We reserve the right to adjust pricing at any time, but price changes will not apply to inquiries you have already purchased.
4.3 Complimentary Inquiries
We may, at our sole discretion, provide you with complimentary inquiries at no charge. These may be offered:
- As a promotional credit for new vendors joining the Platform
- For testing or quality assurance purposes
- As goodwill gestures to resolve service issues
- As part of promotional campaigns
- At any other time we deem appropriate
Complimentary inquiries have no cash value, cannot be transferred or sold, and are provided without any guarantee or obligation on our part.
4.4 Inquiry Information
When you purchase an inquiry, you will receive the following information submitted by the prospective client:
- Contact information (first name, last name, and email address)
- Services requested
- Estimated wedding date (specific date or estimated timeframe)
- Estimated number of people requesting services
- Service location
You may also receive information such as style preferences, estimated budget, and a message describing the request.
We implement filtering to reduce spam and invalid submissions, but cannot guarantee all inquiries will meet your expectations. Our Real Response Guarantee (Section 4.7) addresses inquiry quality concerns.
4.5 Inquiry Notification and Delivery Process
When a prospective client submits an inquiry to your business:
- You will receive an email notification to your registered vendor account email address
- The notification will include limited preview information (service type, wedding date, approximate budget range, location)
- To receive full inquiry details and prospective client contact information, you must purchase the inquiry
- Payment is currently processed via Stripe or via invoice
- Once payment is confirmed, you will receive the full inquiry details via email
- We aim to deliver full inquiry details within 6 hours of payment confirmation, though delivery times may vary due to technical processing or circumstances beyond our reasonable control
Timing Disclaimer: While we make reasonable efforts to deliver inquiries promptly, we do not guarantee specific delivery times and are not liable for delays in inquiry delivery.
4.6 Payment Methods and Processing
Payment is processed through third-party payment processors using your selected payment method. We reserve the right to change payment methods, processors, or implement in-platform payment processing at any time.
We will provide 30 days advance notice of changes to how you make payments or access purchased inquiries.
All payments are in U.S. Dollars. You are responsible for any currency conversion fees, bank fees, or payment processing fees charged by your financial institution or payment processor.
4.7 Real Response Guarantee
When you purchase an inquiry, we provide the following quality guarantee:
Guarantee Coverage:
- Legitimate Inquiry: The inquiry is from a real prospective client or wedding planner, not spam, bots, or fraudulent submissions
- Responsive Client: The prospective client will respond to your initial outreach within 14 days, provided you reach out promptly and professionally within 48 hours of inquiry purchase
How to Request a Credit:
For Invalid/Spam Inquiries:
If the inquiry is clearly spam, fraudulent, or from a bot, email
support@mail.asianweddingmakeup.com within 30 days of purchase with evidence.
For Non-Responsive Clients:
If a legitimate prospective client does not respond to your initial professional outreach within 14 days, email
support@mail.asianweddingmakeup.com within 60 days of purchase with:
- Evidence of your prompt initial outreach (email screenshot or proof of sending)
- Confirmation that the client has not responded through any channel
When the Guarantee Does Not Apply:
We may deny credit requests if any of the following apply:
- The prospective client responded through channels outside the Platform (phone call, text message, direct email not through Platform, social media)
- You failed to respond to the inquiry within 48 hours of receiving full inquiry details
- Your initial outreach was unprofessional, incomplete, or did not adequately address the inquiry
- You encouraged or induced the prospective client not to respond in order to claim this guarantee
- The prospective client responded but ultimately chose not to book your services (this is normal business and not covered)
- The prospective client's budget did not align with your pricing (normal business)
- You are in violation of these Vendor Terms or our general Terms of Service
Credit Terms:
- Credits are issued as account credit for future inquiry purchases
- Credits have no cash value and are non-refundable
- Credits cannot be transferred or sold
- All credit decisions are made at our sole discretion
Our Commitment: This guarantee reflects our commitment to vendor satisfaction and Platform quality. While we implement filtering and quality controls, no system is perfect. We will work with you in good faith to address legitimate quality concerns.
4.8 Refund Policy
General Refund Policy: All inquiry purchases are final. We do not provide refunds except as specifically provided in Section 4.7 (Real Response Guarantee) or as required by applicable law.
Exception for Billing Errors: If you believe you were charged in error, contact us at
support@mail.asianweddingmakeup.com within 30 days of the charge. We will investigate and issue a refund if we determine a billing error occurred.
4.9 Non-Circumvention and Platform Use
You agree not to circumvent the Platform or avoid inquiry fees by:
- Requesting prospective clients to contact you directly outside the Platform to avoid paying for inquiries
- Using information from inquiry preview notifications to contact prospective clients without purchasing the full inquiry
- Sharing purchased inquiry information with other vendors or third parties who have not paid for the inquiry
- Creating multiple vendor accounts to receive duplicate inquiry notifications
- Reverse-engineering inquiry preview information to identify prospective clients
- Any other conduct intended to avoid or reduce inquiry fees
Consequences of Violation: Violation of this non-circumvention policy may result in:
- Immediate suspension or termination of your vendor account
- Forfeiture of any account credits or benefits
- Legal action to recover fees owed plus reasonable attorneys' fees and costs
- Permanent prohibition from rejoining the Platform
Permitted Conduct: This restriction does not prevent you from:
- Working with prospective clients you connected with through legitimate channels outside our Platform (your own website, referrals, organic social media, etc.)
- Responding to prospective clients who contact you directly through your own business channels
- Referring clients to other vendors with whom you have legitimate business relationships
5. Vendor Responsibilities and Conduct
5.1 Professional Conduct
As a vendor on our Platform, you agree to:
- Conduct yourself professionally and courteously in all interactions with prospective clients
- Comply with all applicable federal, state, and local laws and regulations governing your business
- Maintain any required business licenses, permits, liability insurance, and professional certifications
- Not engage in discriminatory practices prohibited by law
5.2 Response Time Expectations
While we do not mandate specific response times, we strongly encourage you to respond to purchased inquiries within 48 hours to provide the best experience for prospective clients and maximize your booking potential. Timely and professional responses help build trust with users and may be considered as one of several factors in how profiles are displayed or highlighted on the Platform.
Failure to respond within 48 hours of an inquiry purchase may make the inquiry ineligible for our Real Response Guarantee (Section 4.7), as described in these Vendor Terms.
5.3 Prohibited Conduct
You may not use the Platform or vendor services to:
- Make false, misleading, or deceptive statements about your business, services, credentials, or experience
- Impersonate another business, vendor, or person
- Engage in harassment, threats, or abusive behavior toward prospective clients or other Platform users
- Discriminate against prospective clients based on race, color, religion, national origin, sex, sexual orientation, gender identity, disability, or other protected characteristics under applicable law
- Solicit reviews, ratings, or testimonials in exchange for discounts or other incentives without proper disclosure
- Manipulate, game, or artificially inflate your profile's rankings, visibility, or reviews
- Use automated systems, bots, or scripts to interact with the Platform or inquiry system
- Access or attempt to access other vendors' inquiry information, account data, or proprietary information
- Reverse engineer, scrape, data mine, or extract data from the Platform
- Circumvent security features or access restrictions
- Use the Platform for any unlawful purpose
- Violate any provision of these Vendor Terms or our general Terms of Service
6. No Guarantee of Inquiry Volume or Results
We make no guarantees, warranties, or representations regarding:
- The number of inquiries you will receive through the Platform
- The quality, suitability, or conversion rate of inquiries to actual bookings
- Whether any prospective clients will book your services
- The accuracy, completeness, or truthfulness of information provided by prospective clients
- The financial capacity of prospective clients to hire your services at your stated rates
- The compatibility between your services and prospective client needs or preferences
Factors Affecting Performance: Your profile visibility, inquiry volume, and booking success may be affected by numerous factors outside our control, including but not limited to:
- Market conditions and seasonal demand fluctuations
- Your profile quality, completeness, and presentation
- Your pricing competitiveness
- Your availability and capacity
- Competition from other vendors in your category and market
- Prospective client preferences and budget constraints
- Your responsiveness and customer service
- General economic conditions
- Changes to the Platform or search algorithms
Our Limited Role: We provide a platform to connect vendors with prospective clients. Your success depends on many factors within your control (service quality, pricing, customer service, portfolio, responsiveness) and beyond anyone's control (market conditions, client preferences, timing).
No Liability for Performance: We are not liable for variations in inquiry volume, seasonal fluctuations, changes in market conditions, prospective clients not booking your services, or any other business performance matters.
7. Relationship Between You and Prospective Clients
7.1 Independent Contractor Relationship
You are an independent business and contractor. Nothing in these Vendor Terms creates an employment, partnership, joint venture, agency, or franchise relationship between you and White Rabbit Brides LLC. You are solely responsible for:
- Operating your business in accordance with all applicable laws and regulations
- Negotiating contracts and terms with prospective clients
- Determining your pricing, availability, and service offerings
- Delivering wedding services to your clients according to your agreements with them
- Collecting payment from clients for services rendered
- Filing and paying all applicable taxes related to your business operations
- Obtaining appropriate business insurance, licenses, and permits
- Hiring, managing, and compensating your employees or subcontractors
7.2 Direct Relationship with Clients
When you purchase an inquiry and connect with a prospective client:
- All communications, negotiations, and transactions occur directly between you and the prospective client
- We are not a party to any contract or agreement you enter into with clients
- We do not mediate, arbitrate, or resolve disputes between you and clients
- You are solely responsible for fulfilling any services or contracts you agree to provide
- Clients make payments directly to you for your services (not through our Platform)
- You are solely responsible for the quality, timeliness, and delivery of your services
7.3 Our Limited Role
Our role is strictly limited to:
- Operating the Platform and vendor directory
- Facilitating initial introductions by transmitting inquiries from prospective clients to you
- Processing inquiry purchase payments you make to us for access to inquiry information
We do not:
- Provide wedding services or act as a vendor
- Guarantee, warrant, or assume responsibility for vendor performance
- Supervise, direct, or control your business operations or service delivery
- Mediate disputes or ensure contract performance
- Process payments between you and your clients
- Verify client creditworthiness or ability to pay
8. Modifications to Services and Platform
8.1 Right to Modify
We reserve the right to modify, suspend, or discontinue any aspect of the Platform or vendor services at any time, including but not limited to:
- Features, functionality, or user interface
- Inquiry pricing structure or payment processing methods
- Profile display, search algorithms, or ranking factors
- Availability in certain geographic markets
- Addition of new services such as in-platform inquiry management, payment processing, calendar integration, or other tools
- The Platform itself, in whole or in part
Notice of Material Changes: For material changes that significantly affect the vendor services or your obligations, we will make reasonable efforts to provide 30 days advance notice via email to your registered vendor account email address. However, we may implement changes without advance notice if:
- Required by law or regulatory authority
- Necessary to address security, privacy, or safety concerns
- Related to technical maintenance or bug fixes
- Minor improvements or non-material changes
Your continued use of the vendor services after any changes constitutes acceptance of such changes.
8.2 Future Services and Features
We may introduce new services, features, or functionality to the Platform, including but not limited to:
- In-platform inquiry management and communication tools
- Analytics and reporting dashboards
- Advertising or featured placement opportunities
Adoption of New Services: Some new services may be:
- Automatically available to all vendors
- Optional services you may choose to use
- Premium services requiring additional payment
We will provide notice and applicable terms for new services when launched. Your use of new services will be subject to these Vendor Terms and any additional terms specific to those services.
8.3 No Liability for Changes
We shall have no liability to you or any third party for any modification, suspension, or discontinuation of the Platform or vendor services, including but not limited to:
- Loss of profile visibility during transitions
- Changes to inquiry volume or quality
- Inability to access features you previously used
- Need to adapt to new workflows or processes
9. Termination
9.1 Your Right to Terminate
You may terminate your vendor account at any time by:
Effect of Your Termination:
- Your profile will be removed from public display within 5 business days
- You will forfeit any unused account credits (inquiry credits have no cash value)
- You will remain responsible for any outstanding inquiry payments or fees owed
- We may retain your information as described in our Privacy Policy and as permitted by law
- Sections of these Vendor Terms that by their nature should survive termination shall remain in effect (see Section 9.4)
9.2 Our Right to Terminate or Suspend
We reserve the right to suspend or terminate your vendor account and access to the Platform at any time, with or without cause and with or without prior notice, including but not limited to if:
- You violate these Vendor Terms or our general Terms of Service
- You engage in fraudulent, abusive, or illegal conduct
- You provide false or misleading information in your profile
- You abuse the Real Response Guarantee or dispute process
- You circumvent the inquiry payment system
- You harm other vendors, prospective clients, or our business interests
- We receive complaints about your conduct or services
- We cease operating the Platform or vendor services
- Required by law, court order, or regulatory authority
- We determine, in our sole discretion, that your continued participation is not in the best interests of the Platform or its users
We may, but are not obligated to, provide notice or an opportunity to cure before termination.
9.3 Effect of Termination
Upon termination by either party:
- Your access to the vendor portal will be immediately revoked
- Your profile will be removed from public display (subject to reasonable technical processing time)
- You must immediately cease using our trademarks, branding, and Platform materials, including removing any Vendor Badges from your website and marketing materials
- All inquiry purchases and payments made before termination remain final and non-refundable (subject to Section 4.7)
- We may retain your information as described in our Privacy Policy and as required by law
- You will remain bound by provisions that survive termination
9.4 Survival
The following provisions survive termination of these Vendor Terms and your vendor account:
- Section 3 (Content Ownership and Intellectual Property Rights) - for the limited survival period specified
- Section 3.3 (Indemnification for Content Claims)
- Section 4.7 (Refund Policy)
- Section 7 (Relationship Between You and Prospective Clients)
- Section 10 (Indemnification)
- Section 11 (Disclaimers and Limitation of Liability)
- Section 12 (Dispute Resolution and Governing Law)
- Section 14 (Privacy and Data Protection) - for retention obligations
- Any provisions that by their nature should survive
10. Indemnification
You agree to defend, indemnify, and hold harmless White Rabbit Brides LLC, its affiliates, subsidiaries, and their respective officers, directors, employees, agents, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or related to:
- Your use or misuse of the Platform or vendor services
- Any Vendor Content you upload or provide, including but not limited to copyright, trademark, privacy, publicity, or other intellectual property claims
- Your violation of these Vendor Terms or our general Terms of Service
- Your violation of any rights of any third party, including prospective clients, other vendors, or individuals depicted in photos
- Your violation of any applicable laws or regulations
- Your business operations, services provided to clients, or conduct toward clients
- Any contracts, agreements, or disputes between you and clients
- Any failure to obtain necessary photo releases, permissions, licenses, or consents
- Claims by clients regarding your services, conduct, or performance
- Your failure to pay taxes or maintain appropriate business licenses or insurance
This indemnification obligation will survive termination of these Vendor Terms and your vendor account.

We do not warrant or guarantee that:
- The Platform will be uninterrupted, timely, secure, or error-free
- Inquiries will be accurate, complete, valid, or result in bookings
- Any errors or defects in the Platform will be corrected
- The Platform is free from viruses, malware, or harmful components
- Inquiry volume or quality will meet your expectations or business needs
- Your profile will achieve any particular ranking, visibility, or inquiry volume
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW:
NO LIABILITY FOR INQUIRY OUTCOMES: We are not liable for the quality, accuracy, validity, or outcomes of any inquiries, including whether prospective clients are genuine, whether they book your services, whether inquiries result in profitable business relationships, or whether clients pay for services you provide.
NO LIABILITY FOR TECHNICAL ISSUES: We are not liable for any interruptions, delays, data loss, technical failures, inability to access the Platform or receive inquiries, or other technical issues due to:
- Scheduled or emergency maintenance
- Hardware or software failures
- Internet or network connectivity issues
- Third-party service provider failures
- Cyberattacks or security incidents
- Circumstances beyond our reasonable control
NO LIABILITY FOR THIRD-PARTY CONDUCT: We are not liable for the conduct, statements, actions, or inactions of prospective clients, other vendors, or third parties using or interacting with the Platform.
NO LIABILITY FOR BUSINESS RESULTS: We are not liable for your business performance, booking rates, revenue, profitability, or any business outcomes related to your use of the Platform.
LIMITATION OF DAMAGES: IN NO EVENT SHALL WHITE RABBIT BRIDES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Loss of goodwill or reputation
- Cost of substitute services or procurement
- Business interruption
- Any other intangible losses
ARISING FROM OR RELATED TO:
- Your use or inability to use the Platform or vendor services
- Any inquiries purchased through the Platform
- Unauthorized access to or alteration of your account, transmissions, or data
- Statements or conduct of any prospective client, vendor, or third party on or through the Platform
- Termination or suspension of your vendor account
- Any other matter relating to the vendor services
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
MAXIMUM TOTAL LIABILITY: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE VENDOR TERMS OR THE VENDOR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF INQUIRY FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $500.
11.3 California-Specific Provisions
Section 1542 Waiver: You hereby expressly waive and relinquish all rights and benefits under Section 1542 of the California Civil Code, which states:
"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
By agreeing to these Vendor Terms, you acknowledge that you may later discover claims or facts in addition to or different from those you now know or believe to exist with respect to the subject matter of these Vendor Terms, but that it is your intention to fully, finally, and forever settle and release all matters, disputes, and differences, known or unknown, suspected or unsuspected, which now exist, may exist, or heretofore have existed between you and White Rabbit Brides LLC.
Limitations Under California Law: Some jurisdictions, including California, do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability and the remedies available to you will be limited to the maximum extent permitted by applicable law.
12. Dispute Resolution and Governing Law
12.1 Governing Law
These Vendor Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
12.2 Exclusive Venue and Jurisdiction
Any legal action or proceeding arising from or related to these Vendor Terms or the vendor services shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You and White Rabbit Brides LLC consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.
12.3 Small Claims Court Exception
Notwithstanding Section 12.2, either party may bring an individual action in small claims court in the appropriate jurisdiction for disputes or claims within that court's jurisdiction.
12.4 Class Action Waiver
TO THE EXTENT PERMITTED BY CALIFORNIA LAW, YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST WHITE RABBIT BRIDES LLC.
Severability of Class Action Waiver: If this class action waiver is found to be unenforceable under California law or the law of the jurisdiction where you reside, it shall be severed from these Vendor Terms and the remainder of these terms shall remain in full force and effect. In such case, any class action or representative proceeding must be brought in a court of competent jurisdiction and not in arbitration.
12.5 Limitation on Time to File Claims
You agree that any claim or cause of action arising from or related to these Vendor Terms or the vendor services must be filed within one (1) year after the claim or cause of action arose, or be forever barred, except where prohibited by applicable law.
12.6 Informal Dispute Resolution
Before initiating any legal proceeding, you agree to first contact us at
support@mail.asianweddingmakeup.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes informally where possible.
13. Privacy and Data Protection

Your use of the Platform and vendor services is also governed by our
Privacy Policy which is incorporated into these Vendor Terms by reference. By using the vendor services, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.
13.2 Use of Inquiry Data
When you purchase an inquiry, you receive prospective client contact information and wedding details. You agree to:
- Use inquiry data solely for the purpose of responding to the prospective client's wedding service request
- Not sell, share, rent, or disclose inquiry data to third parties (except as necessary to provide your services, such as to assistants or employees bound by confidentiality obligations)
- Comply with all applicable privacy and data protection laws, including the California Consumer Privacy Act (CCPA)
- Implement reasonable security measures to protect inquiry data from unauthorized access, use, or disclosure
- Delete or securely destroy inquiry data when no longer needed for the original purpose, in accordance with your data retention obligations
13.3 CCPA Compliance
Under the California Consumer Privacy Act (CCPA), prospective clients whose information you receive through purchased inquiries may have rights including:
- The right to know what personal information you collect
- The right to delete personal information
- The right to opt-out of sale of personal information
- The right to non-discrimination for exercising their rights

- Updates to these Vendor Terms, our Privacy Policy, or other policies
- Platform updates, new features, and service announcements
- Marketing and promotional communications (you may opt out of marketing emails)
- Administrative announcements
You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing and promotional emails by:

Deemed Receipt: Notices sent to your registered email address will be deemed received within 24 hours of sending, whether or not you actually read them.

15. Testimonials, Reviews, and Feedback
15.1 Product Feedback
If you provide us with ideas, suggestions, documents, feedback, or proposals regarding the Platform or vendor services ("Feedback"), whether through email, surveys, feedback forms, or other channels:
- You represent and warrant that you have all rights necessary to submit the Feedback
- Submission is at your own risk and we have no obligations of confidentiality with respect to such Feedback
- You grant us a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, create derivative works of, and otherwise exploit such Feedback in any manner, in connection with the Platform, vendor services, and our business operations
15.2 Testimonials and Endorsements
If you provide us with testimonials, reviews, comments, endorsements, or feedback about your experience using the Platform or vendor services ("Testimonials"), whether through email, surveys, social media, review requests, or otherwise, you grant us a perpetual, worldwide, non-exclusive, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, and display such Testimonials in any media or format, including but not limited to:
- Our website and vendor portal
- Marketing and promotional materials (online and offline)
- Social media channels and advertising campaigns
- Sales presentations, case studies, and white papers
- Press releases and media outreach
- Email campaigns and newsletters
15.3 Attribution and Editing
Unless you specifically request anonymity at the time of providing a Testimonial, you grant us the right to attribute Testimonials to you using:
- Your business name
- Your name and title
- Your location (city and state)
- Your business category (e.g., "wedding photographer")
- Your business logo or headshot (if previously provided)
We may edit Testimonials for:
- Length and brevity
- Grammar, spelling, and punctuation

We will not alter the substantive meaning of your statements or use Testimonials in a misleading or deceptive manner.
15.4 Requesting Removal
You may request removal of your Testimonial from public-facing materials by contacting us at

This does not apply to reviews or feedback submitted to independent third-party review platforms (e.g., Google, Yelp), which are governed by those platforms' terms.
15.5 Authenticity
You represent and warrant that any Testimonials you provide are:
- Truthful and accurate based on your genuine experience
- Not false, misleading, or exaggerated
- Not provided in exchange for compensation unless properly disclosed
- Based on your actual use of the Platform and vendor services
16. General Provisions
16.1 Entire Agreement
These Vendor Terms, together with our general
Terms of Service and
Privacy Policy, constitute the entire agreement between you and White Rabbit Brides LLC regarding the vendor services and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
16.2 Severability
If any provision of these Vendor Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Vendor Terms shall not be deemed a waiver of such right or provision. No waiver of any provision shall be effective unless made in writing and signed by an authorized representative of White Rabbit Brides LLC. No waiver in one instance shall constitute a waiver in any other instance.
16.4 Assignment
You may not assign, transfer, or delegate these Vendor Terms, your vendor account, or any of your rights or obligations under these Vendor Terms without our prior written consent. Any attempted assignment in violation of this section shall be null and void.
We may assign or transfer these Vendor Terms and our rights and obligations without restriction, including to:
- An affiliate or subsidiary
- An acquirer of our business or assets
- A successor entity in a merger or corporate restructuring
These Vendor Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
16.5 Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Vendor Terms resulting from causes beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, or severe weather
- War, terrorism, riots, civil unrest, or armed conflict
- Government actions, laws, regulations, or orders
- Labor disputes, strikes, or lockouts
- Pandemics, epidemics, or public health emergencies
- Internet, telecommunications, or utility failures not caused by us
- Cyberattacks, hacking, or security breaches beyond our reasonable security measures
- Failures of third-party service providers
During any force majeure event, our obligations will be suspended for the duration of the event. We will make reasonable efforts to resume normal operations as soon as practicable.
16.6 Relationship to General Terms of Service
As a vendor, you are also subject to our general
Terms of Service that govern all users of the Platform. In the event of any conflict between these Vendor Terms and the general Terms of Service with respect to vendor-specific matters (such as inquiry purchasing, profile management, or vendor conduct), these Vendor Terms shall control.
For matters not specifically addressed in these Vendor Terms, the general Terms of Service shall apply.
16.7 Third-Party Services
The Platform may integrate with or rely on third-party services, including but not limited to:
- Payment processors (e.g., Stripe, PayPal)
- Email delivery services
- Cloud hosting and storage providers
- Analytics and monitoring tools
We are not responsible or liable for:
- The availability, accuracy, security, or performance of third-party services
- Third-party service outages or failures
- Third-party data breaches or security incidents
- Third-party terms of service or privacy policies
Your use of third-party services may be subject to separate terms and conditions imposed by those third parties.
16.8 No Agency Relationship
Nothing in these Vendor Terms creates an agency, partnership, joint venture, franchise, or employment relationship between you and White Rabbit Brides LLC. You are an independent contractor and may not:
- Make representations or commitments on our behalf
- Bind us to any obligation
- Use our name, trademarks, or branding except as expressly permitted in these Vendor Terms
16.9 Taxes
You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes related to your business operations and the services you provide to clients, including but not limited to:
- Federal, state, and local income tax
- Sales tax, use tax, or value-added tax (VAT)
- Business license fees and taxes
- Self-employment tax
- Any other taxes or fees required by applicable law
Our Inquiry Fees: The inquiry fees you pay to us for purchasing leads do not include any taxes you may owe on your business revenue. We do not provide tax advice or file tax forms on your behalf (except where required by law, such as Form 1099-K reporting for payment processors).
Tax Consultation: You should consult with a qualified tax professional regarding your specific tax obligations and compliance requirements.
16.10 No Third-Party Beneficiaries
These Vendor Terms are for the sole benefit of you and White Rabbit Brides LLC and do not confer any third-party beneficiary rights upon any other person or entity.
16.11 Modification of Vendor Terms
We reserve the right to modify these Vendor Terms at any time. When we make material changes, we will:
- Post the updated Vendor Terms on the Platform with a new "Last Updated" date
- Notify you via email sent to your registered vendor account email address at least 30 days before the changes take effect (for material changes affecting your rights, obligations, or pricing)
Acceptance of Changes: Your continued use of the vendor services after any changes take effect constitutes your acceptance of the revised Vendor Terms. If you do not agree to the modified terms, you must discontinue use of the vendor services and may terminate your account as described in Section 9.1.
Non-Material Changes: Non-material changes (such as clarifications, formatting updates, corrections, or updates to contact information) may be made without advance notice.
Pricing Changes: Changes to inquiry pricing will be communicated separately and will not apply retroactively to inquiries already purchased.
16.12 Language
These Vendor Terms are written in English. If we provide a translation of these Vendor Terms in any other language, the English version shall control in the event of any conflict or inconsistency.

The section and subsection headings in these Vendor Terms are for convenience only and shall not affect the interpretation of these Vendor Terms.
